Agreement to Terms
By accessing and using Web-Development.online ("the Website") and our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.
Services Description
Web-Development.online provides professional web development and digital engineering services, including but not limited to:
- Custom website development
- Front-end and back-end engineering
- API development and integration
- Performance optimization
- Security hardening
- Maintenance and support services
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information for project requirements
- Respond promptly to requests for feedback and approvals
- Provide necessary content, assets, and access credentials
- Make timely payments as outlined in project agreements
- Test deliverables and provide constructive feedback
- Maintain backups of your data and content
Project Process
Proposal and Agreement
Projects begin with a detailed proposal outlining scope, timeline, deliverables, and pricing. Work commences upon client approval and signed agreement.
Milestones and Payments
Projects are typically structured with milestones and corresponding payment schedules. Payments are due upon completion of each milestone as specified in the project agreement.
Revisions and Changes
Reasonable revisions are included as specified in the project agreement. Additional changes beyond the original scope may require change orders and additional fees.
Acceptance and Launch
Client acceptance of deliverables is required before final payment and project launch. We recommend thorough testing before going live.
Intellectual Property
Client Ownership
Upon full payment, clients own the final deliverables and custom code developed specifically for their project, excluding any third-party components or our proprietary frameworks.
Our Rights
We retain ownership of our proprietary frameworks, methodologies, and reusable code components. We reserve the right to display completed projects in our portfolio and marketing materials.
Third-Party Assets
Clients are responsible for licensing any third-party assets (images, fonts, plugins) used in their projects. We will obtain appropriate licenses when included in project scope.
Payment Terms
- Payment schedules are outlined in project proposals
- Payments are due within 15 days of invoice date
- Late payments may incur interest at 1.5% per month
- Projects may be suspended for non-payment
- Additional work requires separate agreements and payments
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes but is not limited to:
- Business strategies and plans
- Technical specifications and code
- Financial information
- Customer data and lists
- Trade secrets and proprietary processes
Confidentiality obligations survive the termination of the project relationship.
Warranty and Support
Warranty Period
We provide a 90-day warranty period from project completion, covering bugs and defects in custom code. This warranty does not cover issues caused by third-party services, client modifications, or normal wear and tear.
Support Services
Ongoing support and maintenance are available through separate service agreements. Support response times and service levels are outlined in support agreements.
Limitations
We are not responsible for issues arising from:
- Client modifications to delivered code
- Third-party service outages or changes
- Browser updates or compatibility issues
- Server hosting problems
- Malicious attacks or security breaches
Limitation of Liability
Our total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific project. We are not liable for indirect, incidental, consequential, or punitive damages.
Termination
Client Termination
Clients may terminate projects with written notice. Clients are responsible for payment for all work completed up to termination date and any cancellation fees as outlined in the project agreement.
Our Termination
We may terminate projects for non-payment, breach of terms, or other reasonable causes with written notice. We will provide deliverables paid for to date.
Indemnification
Clients agree to indemnify and hold us harmless from any claims arising from:
- Client-provided content or materials
- Client modifications to delivered work
- Client business activities and operations
- Breach of these Terms by the client
Force Majeure
We are not liable for delays or failures to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.
Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through good faith negotiations. If unresolved, disputes will be resolved through binding arbitration in Santa Clara County, California, in accordance with American Arbitration Association rules.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our Website. Your continued use of our services constitutes acceptance of modified Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, along with any project-specific agreements, constitute the entire agreement between you and Web-Development.online regarding our services.
